GrubMarket, a San Francisco food-technology platform, has bought JR Holland, a Gateshead-based fresh produce wholesaler, in its first UK acquisition. The deal gives the American company a foothold in North East food distribution and gives JR Holland access to GrubMarket's supply chain software and artificial intelligence tools.

John Holland founded the business in the early 1980s. JR Holland now employs more than 120 people and supplies fresh produce to restaurants, hospitality venues, foodservice operators, schools, NHS trusts and other public sector organisations across the North East and beyond.

GrubMarket describes its mission as digitising the global food supply chain, pairing proprietary technology with wholesale and distribution businesses it acquires internationally. GrubMarket chief executive Mike Xu said the JR Holland deal was "an important milestone" in that expansion. Both companies say JR Holland will keep its existing name and management team, suggesting little immediate change for customers and suppliers.

Several North East professional-services firms advised on the deal. RG Corporate Finance led for John Holland, with tax advice from the same firm. Andrew Jackson Solicitors acted for shareholders, supported by Ward Hadaway and Womble Bond Dickinson. GrubMarket used US firm O'Melveny, with WilliamsMarston on financial due diligence and Deloitte on tax.

What the deal actually changes is ownership, not operations, at least for now. A 43-year-old regional food business with public-sector supply contracts, including NHS trusts, has passed into the hands of a US food-technology group. The next test is what GrubMarket does with JR Holland, and whether the Gateshead business becomes the first step in a wider UK acquisition strategy.
